Who we are
B Found is operated by B Found Search Inc., a corporation incorporated under the Canada Business Corporations Act, with its mailing address at 354 Guelph St, Unit 23-450, Georgetown, ON L7G 4B5. In these Terms, "we", "us", and "our" mean B Found Search Inc., and "B Found" is the brand name under which we operate bfound.ca.
How you accept these Terms
These Terms are an agreement between you and B Found Search Inc. You accept them by doing any of the following, whichever happens first:
- using bfound.ca or any other part of the Services;
- submitting the audit request form;
- creating an account; or
- purchasing a Paid Service.
We link these Terms at each of those points — on the form, at account signup, at checkout, and in the site footer — so you can read and save a copy before you accept. If you accept for a business, you confirm you have authority to bind that business, and "you" includes that business.
Definitions
In these Terms:
- "Terms" means these Terms of Service together with anything they incorporate at the point of purchase — your order or checkout summary and, for subscriptions paid by bank debit, the pre-authorized debit agreement you accept at checkout.
- "we", "us", and "our" mean the company identified in Who we are above.
- "you" means the person using the Services and, where you act for a business, that business too.
- "Services" means the bfound.ca website, the Free Audit, and the Paid Services.
- "Free Audit" and "Paid Services" are defined in The Services below.
- "Fees" means the amounts shown at checkout or on your order or invoice when you purchase a Paid Service.
Who the Services are for. We provide the Services to businesses and to people acting for a business. If, despite that, consumer-protection law — including the Consumer Protection Act, 2002 (Ontario) — treats you as a consumer for a purchase, nothing in these Terms limits any right that law does not allow to be limited.
The Services
B Found helps local businesses see and improve how they show up in local search and AI-generated answers. The Services are:
- The "Free Audit" — a free, self-serve snapshot of how a business appears in local search and AI answers. It is built from third-party data sources, reflects a point in time, and can be incomplete or out of date. It is informational only: it is not advice tailored to your business, and it does not commit us to any work.
- The "Paid Services" — the paid offerings described on the site and at checkout: the Instant Audit, the Done-For-You Audit tiers, and the White-Label Dashboard subscription. What each Paid Service includes, and its price, is shown at checkout or on your order before you buy.
What we do not promise. We do not control Google, other search engines, or AI platforms. We do not guarantee rankings, AI-answer placement, reviews, traffic, or any specific business result — from the Free Audit or from any Paid Service.
Accounts
Some Services need an account. You agree to give accurate information when you create one, keep your credentials confidential, and tell us promptly at [email protected] if you suspect unauthorized use. You are responsible for activity under your account until you tell us. We may suspend or close an account that breaks these Terms (see Termination); you can close yours at any time by contacting us.
Acceptable use
You agree to:
- only request audits or reports for a business you own or are authorized to act for, and give us accurate contact details;
- not use the Services to break any law, to probe or disrupt our systems, or to harvest data or content from them at scale; and
- not resell or republish the Services except as a Paid Service explicitly allows (for example, white-label reporting for your own clients).
If you breach this section we may suspend or end your access (Termination).
Fees and payment
The price of each Paid Service, and everything it includes, is shown to you at checkout or on your order before you buy — including taxes and any other charges, and, for subscriptions, the amount and billing frequency. All prices are in Canadian dollars. [VERIFY: GST/HST — B Found Search Inc.’s registration status is unsettled and no tax is currently collected; state the tax treatment honestly once settled — CRA]
Subscriptions. A subscription renews automatically each billing period until you cancel. You can cancel at any time with notice of no more than 30 calendar days, by [VERIFY: cancellation mechanism — operator to confirm (email to [email protected] or an account control)]; cancellation takes effect per the terms shown when you subscribed. If you pay by pre-authorized bank debit, the pre-authorized debit agreement you accept at checkout governs the debits, including your cancellation and recourse rights under Payments Canada Rule H1.
Refunds. [VERIFY: general refund policy — operator business decision, open in bfound pre-launch-todo; this document must not point to purchase-time terms that do not exist.] Two commitments apply now: if we end a Paid Service without cause, and if you cancel a subscription because you rejected a material change to these Terms, we refund the unused portion of what you prepaid (Termination, Changes to these Terms).
Your copy and your rights. After you buy online, we send you a copy of your agreement within 15 days. If consumer-protection law treats you as a consumer, you may also have cancellation rights for online purchases over $50 where required disclosure was not given — nothing in these Terms limits those rights.
Emails and follow-up
We send you marketing email only with your consent — for B Found, that is the unchecked consent box on the audit form, and we keep a record of exactly what you agreed to and when. Every marketing message identifies us, includes our mailing address, and includes an unsubscribe mechanism that costs you nothing. We give effect to an unsubscribe without delay, and no later than 10 business days; you never need to do anything more than send the request. Messages we must send you about a purchase or your account (receipts, security notices) are not marketing and do not stop when you unsubscribe.
Intellectual property
We own the Services — the site, its content, our audit methodology, software, and templates. Your audit results and reports are yours to use for your business (including, where your Paid Service is white-label reporting, sharing them with your own clients under your brand); you may not resell our reports or reuse our methodology outside that. The business information you give us stays yours — you give us permission to use it to provide the Services.
Warranties
We provide the Services with reasonable skill and care, but the Free Audit is provided as-is: it is an informational snapshot built from third-party data, and we do not warrant that it is complete, current, or error-free. For Paid Services, what we commit to deliver is what your order describes. Except for those commitments, we disclaim all other warranties to the extent the law allows — and nothing in these Terms excludes or limits any warranty or right that applicable consumer-protection law does not allow to be excluded or limited, including the deemed warranty of reasonably acceptable quality for services under the Consumer Protection Act, 2002 (Ontario), where it applies.
Limitation of liability
We are not liable for business results — rankings, traffic, leads, or revenue — or for decisions you make based on audit results. To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability for claims connected to a Paid Service is limited to [VERIFY: cap — operator/lawyer decision]. Nothing in this section limits liability that applicable law does not allow to be limited, or any non-waivable right you have under consumer-protection law.
Indemnification
If you use the Services for a business, you agree to compensate us for losses and claims caused by: your breach of these Terms, your submitting a business you had no authority to act for, or your use of reports or deliverables in a way these Terms do not allow. This section does not apply to you to the extent consumer-protection law makes it unenforceable against you.
Termination
You can stop using the Services at any time, close your account by contacting us, and cancel a subscription as described in Fees and payment. We may suspend or end your access if you materially breach these Terms and, where the breach can be fixed, you have not fixed it after we told you about it. If we end a Paid Service without cause, we refund the unused portion of what you prepaid. Sections that by their nature continue — Intellectual property, Limitation of liability, Indemnification, Governing law — survive termination.
Changes to these Terms
We may update these Terms. When we do, we post the new version at bfound.ca/terms with a new "Last updated" date, and for material changes we give you advance notice — by email if we have your address, or by a notice on the site — at least [VERIFY: notice period — operator decision] days before they take effect. Changes do not apply retroactively. If you do not accept a material change to a Paid Service you are subscribed to, you may cancel before it takes effect and we will refund the unused portion of what you prepaid. No change removes a right that applicable consumer-protection law does not allow to be waived.
Governing law
Governing law. These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
Forum. You agree that the courts of Ontario have jurisdiction over any dispute arising out of or relating to these Terms, subject to any non-waivable rights you have under applicable consumer-protection law.
Disputes
If something goes wrong, contact us first at [email protected] — most issues are fixed faster by a conversation than by anything in this section. Any dispute we cannot resolve is subject to Governing law above. These Terms do not require arbitration and do not waive your right to bring or join a court proceeding.
Privacy
Our Privacy Policy (bfound.ca/privacy) explains what Personal Information (as defined in that policy) we collect, why, who we share it with, and your rights. It is part of how we provide the Services, but it is a disclosure of our practices — not a set of extra obligations on you.
